To recover damages from a defendant under Rule 10b-5, a plaintiff must show each of the following:
1 . The defendant used either an instrumentality of interstate commerce or the mails or a facility of a national securities exchange.
2 . The defendant made a statement that either misrepresented or omitted a fact.
3 . The fact was of material importance.
4 . The misrepresentation or omission was made with scienter.
5 . The statement or omission was made in connection with the purchase or sale of securities.
6 . The plaintiff acted in reliance either on the defendant's misrepresentation or on the assumption that the market price of the stock accurately reflected its value.
7 . The defendant's misrepresentation or omission caused the plaintiff to suffer losses.
