Duty of Loyalty. Mackinac Cellular Corp offered to sell Robert Broz a license to operate a cellular phone system in Michigan. Broz was a director of Cellular Information Systems, Inc (CIS). CIS, as a result of bankruptcy proceedings, was in the process
