The agent should avoid dual agency if he/she does not have the consent of both principals. Conflicts of interest such as self-dealing, secret profits, and usurping principals' opportunities should generally be prohibited. The duty of loyalty demands that the agent avoid even the appearance of impropriety. The agent may engage in otherwise prohibited activity with the principal's consent and after full and open disclosure.
