a. Negotiation is the voluntary or involuntary transfer of an instrument by a person other than the issuer in such a manner that the transferee becomes a holder. A person becomes a holder by receiving possession of an instrument drawn, issued, or indorsed to him, or to his order or to bearer or in blank.
b. A transfer may take place by assignment or by negotiation. A transfer of an instrument vests in the transferee such rights as the transferor has therein. The transfer of a nonnegotiable promise or order operates as an assignment, as does the transfer of a negotiable instrument by a means that does not render the transferee a holder. Negotiation is the transfer of an instrument in such form that the transferee becomes a holder. If the instrument is payable to order, it is negotiated by delivery with any necessary indorsement. If payable to bearer, it is negotiated by delivery alone.
