The basic law of contracts is state common law. The Restatement of the Law of Contracts is an authoritative statement of the common law in the United States. The UCC has been adopted by the legislatures of all states, except Louisiana. Article 2 of the UCC deals with sales of goods, which are defined as tangible, movable personal property. All other contracts are governed by state common law. The UCC is state statutory law, whereas the Restatements are authoritative reference works, but they do not represent the law of every state in the United States.
