Discuss whether a contractual provision which states, "Employee must maintain all Employer's trade secrets in confidence" would be enforceable.?
What will be an ideal response?
This provision may be too broad. The agreement must describe with specificity the particular information that is to be protected. If the agreement is over broad or merely states the employee must protect the employer's trade secrets without specifying the particular information that is being protected, there is a significant danger that the agreement will be invalid. An employee will not know what conduct is permitted and what conduct is prohibited under such a broad agreement.?
