The Code's parol evidence rule is found in Section 2-202 and 2A-202. The basic statement of the rule in Article 2 is not significantly different from the parol evidence rule under the common law of contracts. Contractual terms that the parties set forth in a writing that they intend to be a final expression of their agreement may not be contradicted by evidence of any prior or contemporaneous agreement. However, UCC Section 2-202 contains a provision which allows contractual terms to be explained or supplemented by course of performance, course of dealing, or usage of trade and evidence of consistent additional terms, unless the writing was intended as the complete and exclusive statement of the terms of the agreement.
