Corporate vicarious liability refers to the liability of a corporation, no matter its size, for the criminal conduct of its employees. The general rule today is that a corporation is criminally liable for the actions of its agents when (1) those agents act in the official scope of their employment for (2) the benefit of the corporation. The form of punishment for corporations whose employees' actions form the basis of vicarious liability, then, is a fine. At the federal level, the amount of the fine depends on the victim's loss and/or the company's gain multiplied by some factor set in the U.S. Sentencing Guidelines. With individual vicarious liability, one person (instead of a corporation) is held liable for another's behavior. For example, in some states, parents can be held criminally liable for their kids' illegal activities. So-called principals can also be held liable for the actions of their agents (an "agent" is one who acts on behalf of a principal). Not unlike corporations, then, individual principals can be liable (criminally and civilly) for the actions of their agents.
