A corporation's articles of incorporation are contained in a document filed with the appropriate state official, usually the secretary of state, when a business is incorporated.State statutes usually prescribe what kind of information must be contained in the articles of incorporation, but the following three categories of information are typically included:•The nature and purpose of the corporation-The intended business activities of the corporation must be specified in the articles, and, naturally, they must be lawful. Statinga general corporate purpose (for example, "to engage in the production and sale of agricultural products") is usually sufficient to give rise to all of the powers necessary or convenient to the purpose of the organization.•The registered office and agent of the corporation-The corporation must indicate the location and address of its registered office within the state. Usually, the registered office is also the principal office of the corporation. The corporation must give the name and address of a specific person who has been designated as an agent and who can receive legal documents (including service of process) on behalf of the corporation.•The names and addresses of the incorporators-Each incorporator must be listed by name and must indicate an address. An incorporator is a person-often the corporate promoter-who applies to the state on behalf of the corporation to obtain its corporate charter. States vary on the required minimum number of incorporators; it canbe as few as one or as many as three. Incorporators are required to sign the articles of incorporation when they are submitted to the state; often, this is their only duty. In some states, they participate at the first organizational meeting of the corporation.
