Explain the difference between a transfer of a person's rights by assignment under the law of contracts, and a transfer of a negotiable instrument by negotiation under the UCC

With the transfer of rights by assignment under the rules of contract law, the assignee (to whom the rights are transferred), receives only those rights that the assignor possessed. With a transfer by negotiation, under the UCC rules dealing with negotiable instruments, the transferee becomes a holder who will acquire significantly more rights than the assignee under contract law.
