Discuss the duty of general partners to limited partners


A general partner owes a fiduciary duty to the other general partners and to the limited partners. The existence of this duty is extremely important to the limited partners because of their limited role in the control and management of the business enterprise. The RULPA does not distinguish between the duty of care owed by a general partner to a general partnership and that owed by a general partner to a limited partnership.
