An unconscionability analysis contains two components: procedural
unconscionability and substantive unconscionability. Procedural
unconscionability first examines whether the contract was one of
adhesion: one not freely bargained but adhered to on a “take it or
leave it” basis. If so, then the analysis focuses on whether the weaker
party was oppressed or surprised. Substantive unconscionability is
concerned with contractual terms that produce unfair or one-sided
results.
