The basic idea behind the parol evidence rule is that when the parties to an agreement have expressed their agreement in a complete, unambiguous writing, the writing is the best evidence of their intent. This is generally true because the terms of the writing are known and irrefutable, whereas oral statements by the parties after a dispute has arisen regarding what they had agreed to may be affected by faulty memory, wishful thinking, or outright bad intent. Even prior writings made by the parties may represent only preliminary subjects of negotiation on which the parties never agreed. So, the parol evidence rule says that a party cannot vary the terms of a written contract by introducing evidence of terms allegedly agreed on prior to, or contemporaneous with (at the same time as), the writing.
