The basic statement of the Code parol evidence rule is not significantly different from the parol evidence rule under the common law of contracts: contractual terms that are set forth in a writing intended by the parties as the final expression of their agreement may not be contradicted by evidence of any prior agreement or of a contemporaneous oral agreement. However, the Code contains a provision which allows the contractual terms to be explained or supplemented by course of performance, course of dealing, or usage of trade and evidence of consistent additional terms as long as the writing was not intended as an exclusive statement of the terms of their agreement.
