Explain the purpose of a standstill agreement and the basics of how it works.

A standstill agreement is designed to prevent an acquirer from obtaining additional holdings in the target firm and thereby gaining more control over that target. In essence, the target firm pays a fee to the acquirer. In turn the acquirer agrees to limit its holdings in the target firm and offers a right of first refusal to the target firm for any shares the acquirer decides to sell.
