A security interest is an interesting personal property or fixtures used as collateral to secure payment or the performance of an obligation. A dragnet clause is a clause by which the parties agree that the collateral for one loan may be used to secure obligations under another loan. Perfecting a security interest involves making the security interest valid as against other creditors of the debtor. Methods of perfection include (1) taking possession of the collateral, (2) taking control of the collateral, (3) filing a financing statement, or (4) automatically, or (5) recording with the appropriate federal office in regard, for example, to copyrights.
