Codes of ethics are far simpler in language, shorter, and have different goals than
codes of conduct. A company should focus on having a code of ethics before a code of conduct, as the code of conduct flows from the aspirational behaviors described in a code of ethics. A code of ethics might be just a few sentences long, small enough to put on something the size of a business card. It is designed to describe the broad ethical aspirations for a company, to serve as a model for employees, and to help guide them broadly to ethical decisions. The code of conduct is more an application of the code of ethics to specific scenarios an employee might encounter and can be many pages long.
While a code of ethics has no legal language, a lawyer is required to help write the code of conduct, as it must match and offer specific ethical guidance to real world situations.
